Assurance

Assurance

Thiel Partners are proud to be in partnership with Australian based company Lattice Capital. Together we collaborate to provide you with compliant and factual advice on your assurance needs.

Business operators in all industry sectors will from time to time require some form of assurance services in respect of the accuracy of certain representations made in the course of normal commercial practice.

These services include:

Business Valuations
Valuations are often complex and prudence should be applied in seeking out as appropriately qualified and experienced specialist. We understand valuations and have structured our service offering around the specific experience of our Principals who have, collectively, conducted numerous assignments. We have worked on assignments involving publicly listed and private companies – be it shares, debentures, preference shares, options or intellectual property. They have also valued entire businesses, controlling and fractional interests, bundles of assets and even participation rights.

Our experience ensures that both local and global business perspectives and benchmarks are considered. We are members of the Institute of Chartered Accountants – Valuation Special Interest Group, and appropriately accredited through FINSIA. We also regularly work with our clients’ strategic leaders to develop strategies and strategic business plans which leverage the drivers of value and mitigate the associated risks.

The requirement for a business valuation usually originates from:

  • a strategic review
  • succession planning
  • acquisitions and mergers
  • funding applications
  • litigation involving commercial disputes
  • tax restructuring
  • divorce proceedings
  • the need to sell a business.

Due Diligence
The last thing you want to find after buying a business are skeletons in the closet. Those unexpected ‘surprises’ can potentially turn a successful business transaction into a negative. A professional due diligence exercise will help identify and mitigate those risks in a business acquisition, just as it will achieve in the case of a vendor due diligence prior to a sale.

We believe that an independent due diligence is a pre-requisite for all material investments, acquisitions, strategic alliances and outsourcing arrangements. A due diligence is even more important where:

  • the purchaser has limited experience in executing transactions;
  • a material transaction is being considered;
  • other advisors might be conflicted, or poorly placed to assist;
  • specialist skills e.g. employee benefits, intellectual property, taxation, real estate, legal or commercial due diligence skills are specifically required

We provide business valuation services to clients in particular circumstances where they may be securing finance against business purchases or business assets, business ownership splits, family law matters, insurance claims and other litigation matters.

Don’t find the skeletons in the closet when it’s too late. Ask how we can find them for you!

What are our Assurance services

There is nothing worse than purchasing a business to discover monumental faults which were never disclosed. Assurance services minimize this risk through professional streams of valuations, due diligence and forensic accounting & litigation.

We provide business valuation services to clients in particular circumstances where they may be securing finance against business purchases or business assets, business ownership splits, family law matters, insurance claims and other litigation matters.

Due diligence is the process involving either an investigation of a business or person prior to signing a contract. It can be a legal obligation, but the term will more commonly apply to voluntary investigations. A common example of due diligence in various industries is the process through which a potential acquirer evaluates a target company or its assets for acquisition.

Forensic accounting is the specialty practice area of accounting that involves engagements that result from actual or anticipated disputes or litigation. “Forensic” means “suitable for use in a court of law”. Forensic services can cover numerous areas including family law matters, insurance claims, fraud, personal injury, proceeds of crime and the provision of expert evidence at a trial.
